Terms of Service

These Terms of Service ("Terms") govern your access to and use of the RxLens website and dashboard (the "Service"). The Service is operated by Nexcea Limited, a company registered in England and Wales (company no. 12542772), registered office Adamson House, Wilmslow Road, Manchester, M20 2YY ("Nexcea", "we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

• "Content" means the data, analysis, charts, tables, text and other materials made available through the Service.
• "Subscription" means a paid plan giving access to features described at checkout.
• "You" means the individual or organisation using the Service.

2. The Service

RxLens provides an interface for exploring and analysing NHS England secondary-care medicines data. The nature, source and limitations of that data — including that costs are indicative only and recent data is provisional — are set out in our Data & disclaimers, which forms part of these Terms. We may add, change or remove features at any time.

3. Accounts

You must provide accurate registration information and keep your login credentials secure. You are responsible for all activity under your account. You must notify us promptly of any unauthorised use. You must be at least 18 years old and authorised to agree to these Terms on behalf of any organisation you represent.

4. Subscriptions, payment and renewal

• Billing. Paid Subscriptions are billed in advance on a recurring basis (monthly or annually) through our payment processor, Stripe. By subscribing you authorise us, via Stripe, to charge your payment method for each billing period.
• Auto-renewal. Subscriptions renew automatically at the end of each period at the then-current price, unless cancelled before the renewal date.
• Cancellation. You may cancel at any time. Cancellation takes effect at the end of the current billing period, and you retain access until then.
• Price changes. We may change prices. We will give reasonable notice before a change affects your next renewal.
• Taxes. Prices shown include UK VAT at the prevailing rate. A VAT invoice is available from your account after each payment.
• Failed payments. If a payment fails, we may suspend or downgrade access until payment is made.

5. Refunds and consumer rights

Except where required by law, payments are non-refundable, including for partial periods. If you are a consumer in the UK, you may have a statutory right to cancel within 14 days of purchase; however, by starting to use the Service immediately you may acknowledge that this right is lost once the Service has been fully provided during that period. Nothing in these Terms affects your non-excludable statutory rights.

6. Licence and acceptable use

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service and its Content for your own internal business or personal research purposes.

You must not, and must not permit others to:

• scrape, harvest, crawl or systematically extract Content, or attempt to reconstruct the underlying dataset;
• resell, redistribute, sublicense or publicly republish the Content or exports except as expressly permitted by your plan;
• share login credentials or exceed the number of seats in your plan;
• circumvent or attempt to circumvent access controls, rate limits or export limits;
• use the Service unlawfully or in breach of our Acceptable Use Policy, which forms part of these Terms.

7. Intellectual property

The underlying data is sourced from the NHSBSA under the Open Government Licence v3.0 (see Data & disclaimers). All rights in the RxLens software, design, branding, and our processed and structured presentation of the data are owned by or licensed to Nexcea Limited. No rights are granted except as expressly stated in these Terms.

8. No warranty

The Service and Content are provided "as is" and "as available". To the fullest extent permitted by law, we exclude all warranties, express or implied, including as to accuracy, completeness, timeliness, availability and fitness for a particular purpose. You acknowledge the indicative and provisional nature of the data described in our Data & disclaimers.

9. Limitation of liability

Nothing in these Terms limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or for fraud). Subject to that:

• we are not liable for any loss of profits, revenue, business, goodwill, anticipated savings, or for any indirect or consequential loss; and
• our total liability arising out of or in connection with the Service in any 12-month period is limited to the amount you paid us for the Service in that period.

You are solely responsible for decisions made on the basis of the Content.

10. Indemnity

You agree to indemnify us against claims, losses and costs arising from your breach of these Terms or your misuse of the Service.

11. Suspension and termination

We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us or others. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.

12. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms with a revised date and, where changes are material, take reasonable steps to notify you. Continued use after changes take effect constitutes acceptance.

13. Governing law and jurisdiction

These Terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, save that if you are a consumer you may benefit from mandatory provisions of the law of your country of residence.
